Formalize your business and protect what you're building
We help you choose the right structure, prepare the documents, and coordinate the necessary records so that your project starts in an orderly fashion, with legal backing and access to new opportunities.

Why formalize your business project?
Formalization is not just a formality: it is the foundation that allows you to grow securely, access financing, and work with companies and the government.
Protection of your assets
When forming a limited liability company, the liability of the partners is generally limited to their contributions, and personal assets are separated from business assets.
Credibility with clients and partners
Having an RNC, Commercial Registry and protected trade name allows you to hire, invoice and present yourself with the seriousness that clients, suppliers and investors expect.
Access to formal financing
Financial institutions evaluate companies based on their legal structure and up-to-date records. Formalizing a business makes it easier to open accounts and apply for credit.
Selling to the Government
A formal company can register in the State Supplier Registry and bid to hundreds of public entities in purchasing and contracting processes.
Support and training programs
Public and trade institutions, such as the Ministry of Industry, Commerce and SMEs and the chambers of commerce, guide and support formalized businesses.
Growth and expansion
Issuing tax receipts, hiring staff with social security, incorporating partners, or planning exports is easier and safer with an organized legal framework.
Legal forms contemplated by Dominican legislation
Law 479-08 on Commercial Companies and Individual Limited Liability Companies, as amended by Law 31-11, recognizes the following forms. We help you choose the one that best suits your project.
Limited Liability Company (SRL)
Capital divided into corporate quotas (cuotas sociales), with the partners’ liability limited to their contributions. It is one of the most commonly used forms among small and medium-sized businesses.
Common in SMEsIndividual Limited Liability Company (EIRL)
It allows a single person to start a business with separate business assets from their personal assets, without the need to partner with anyone.
Single ownerCorporation (S.A.)
Capital represented by shares, with liability limited to the contribution. Suited to larger-scale projects, with a corporate governance structure.
SharesSimplified Corporation (S.A.S.)
A flexible form introduced by Law 479-08, with more agile organization and operating rules and liability limited to the partners’ contributions.
FlexibleGeneral Partnership (Sociedad en Nombre Colectivo)
The partners are jointly and severally liable for the company's debts. It is based on trust among the partners.
Unlimited liabilityLimited Partnership (Sociedad en Comandita Simple)
It combines managing partners, with unlimited liability, and limited partners, whose liability is limited to their contribution.
Two classes of partnersLimited Partnership by Shares (Sociedad en Comandita por Acciones)
A variant of a limited partnership whose capital is represented by shares, with managing partners and limited partners.
Infrequent useIt's also possible to operate as a sole proprietor with a business name and tax identification number (RNC), although there's no separation between personal and business assets. The choice depends on the number of partners, capital, risk level, and growth plans; we'll recommend it during our initial conversation.
