Definition
The Individual Limited Liability Company (EIRL), It is an innovative legal structure in the Dominican Republic. Introduced by Law No. 479-08 on Commercial Companies and Individual Limited Liability Companies, the EIRL allows an individual to create an entity with its own legal personality, separate from their personal assets. This type of company is particularly useful for entrepreneurs who wish to operate with limited liability, without the need to partner with others.
Important Characteristics of EIRLs
Individual Limited Liability Companies (EIRL) are distinguished by several key characteristics:
- Sole Owner and PartnerThe EIRL belongs to a single individual, which means that it does not require the participation of additional partners or shareholders, unlike other types of companies that necessarily need at least two partners.
- Separate Legal PersonalityAn EIRL (Individual Limited Liability Company) is an entity with its own legal personality, which grants it the capacity to hold rights and obligations independent of the owner's personal assets. This means that the company's assets are separate from the owner's personal assets.
- Limitation of LiabilityThe liability of the owner of the EIRL is limited to the share capital contributed, thus protecting their personal assets from the commercial obligations of the company.
- Operational VersatilityA sole proprietorship with limited liability (EIRL) can carry out all kinds of civil and commercial operations, including the provision of services and industrial activities. However, there are certain restrictions, such as in the case of financial intermediation, where only corporations (SA) can obtain licenses to operate.
- Transformation in SocietyThe EIRL has the flexibility to transform into a company in the future if the owner wishes, allowing the inclusion of partners and the growth of the company.
- Contribution for Residence through InvestmentThe EIRL can be used to meet the investment requirement of USD$200,000.00 to obtain Dominican Residency and Nationality by investment.
Differences between an EIRL and an SRL
Establishing the difference between an EIRL and a Limited Liability Company (SRL) is fundamental to determining which structure is right for your business, as both types of entities offer unique characteristics:
- Number of Members:
- EIRLIt is composed of a single owner or partner. This type of company is ideal for entrepreneurs who wish to maintain absolute control of their business without the need to share management with others.
- SRLIt requires a minimum of 2 and a maximum of 50 partners. It is a common option for those who wish to start a business together with other partners, sharing both decision-making and profits.
- Share Capital:
- EIRLThe minimum share capital is determined by the owner and is not fixed by law. This gives entrepreneurs the flexibility to start with the capital they deem appropriate.
- SRLThe law requires a minimum share capital of RD$100,000.00. This amount must be contributed by the partners and is divided into equal or unequal parts as agreed between them.
- Management Bodies:
- EIRLThe management is handled by a single manager, who may be the owner or someone appointed by them. Decision-making is direct and centralized.
- SRLThe administration is handled through two bodies: the general meeting of partners and the management board. This implies a more complex and formal decision-making structure, suitable for companies with multiple partners.
- Patrimonial Liability:
- EIRLIt offers a clear separation between the owner's personal assets and the company's assets. In case of debt, only the company's assets can be accessed, thus protecting the owner's personal assets.
- SRLSimilar to an EIRL, the partners of an SRL have their liability limited to the amount of their capital contribution, which also protects their personal assets.

Once the company's formalization is complete, the bank returns these funds.
- Documentation and Commercial Registry:
- Constitutive ActThis document is the cornerstone of the EIRL (Individual Limited Liability Company) and must include details such as the company name, its business purpose, share capital, address, and owner's information. This document must be notarized and legalized before the Attorney General's Office of the Dominican Republic.
- Commercial RegistryThe company is registered with the corresponding Chamber of Commerce and Production, which grants it the necessary legal status to operate.
- Obtaining the RNCAfter registering with the Chamber of Commerce, you must obtain the National Taxpayer Registry (RNC) from the General Directorate of Internal Taxes (DGII).
- Opening a Bank AccountThe EIRL (Individual Limited Liability Company) must open a bank account in its name, where the share capital will be deposited. This step is mandatory and can be a challenge for some entrepreneurs, as other types of companies do not require this initial deposit.
- Registration with the TSS and the MTIf the EIRL employs workers, it is necessary to register it with the Social Security Treasury (TSS) and the Ministry of Labor (MT).
- Registration in the State Supplier Registry (RPE)If you are interested in being a supplier of goods and services to the State, you must obtain the State Supplier Registry (RPE), managed by the General Directorate of Public Purchases and Contracts.
